1. License and access

Whole Person Conversations, LLC grants you a limited, personal, non-exclusive, non-transferable and revocable license to access and use program materials and the online learning area solely for your own professional development, subject to the enrollment terms that apply to you and this agreement. Access is for the period and scope described in your enrollment agreement or access notice.

You may view and use materials made available to you in the learning area and may download a guide or workbook only where a download is provided for that purpose. The license does not transfer ownership or grant a right to publish, distribute, sublicense or make materials available to another person.

2. Materials and ownership

Program materials may include live and recorded program sessions, workbooks, downloadable guides, an on-demand resource library, a member or course area, and cohort sessions. Whole Person Conversations, LLC and its licensors retain all rights in those materials, the learning area, and their selection and arrangement, except for rights expressly granted here.

Listen Beyond Words™, HELD™, Dynamics of Change™, Where's Your Waterline?™, and Transition Clarity Loop™ are marks owned by Whole Person Conversations, LLC. No ownership interest in a mark is granted. You may identify the program or its marks descriptively when accurate, but you may not present the marks, frameworks, or teaching materials as your own.

3. Use restrictions

Unless the enrollment agreement expressly permits a specific use, you may not copy, reproduce, publish, distribute, publicly display, record, retransmit, modify, sell, resell, sublicense, share or make program materials available to others. Do not share account credentials, bypass access controls, remove copyright or other notices, reverse engineer the learning area, or use materials to create a competing course or service.

You may not use program materials, sessions, transcripts, prompts, or other content to train, fine-tune, evaluate, or otherwise develop an artificial intelligence or machine learning model. You may not teach or license the marks as your own, imply that Whole Person Conversations, LLC endorses your separate offering, or use the materials in a manner that violates law or another person’s rights.

4. Limited internal firm use

Use within your own firm or organization is permitted only when and to the extent your enrollment agreement expressly says so. No team, enterprise, client-facing, or group license is implied by one person’s enrollment. Any permitted internal use remains subject to the agreement’s scope and the restrictions above.

5. Client and cohort confidentiality

You are responsible for protecting the confidentiality of your clients and for complying with your professional, legal, contractual, and firm obligations. Do not place identifiable client information in a session, cohort discussion, assignment, message, or platform unless you have a lawful basis and appropriate permission, and the program expressly permits it. Use de-identified examples wherever possible.

Treat other participants’ identities, personal experiences, and statements shared in cohort sessions as confidential. Do not record, quote, publish, or disclose them outside the cohort without the person’s permission. Whole Person Conversations, LLC cannot guarantee that other participants will comply, so do not share information you are not willing to discuss in that setting.

6. Your content and feedback

You retain your rights in content you submit, except for rights already held by another person. You grant Whole Person Conversations, LLC a non-exclusive, worldwide, royalty-free license to host, display, reproduce, and use submitted content only as reasonably needed to operate, administer, improve, and support the program, respond to you, and use feedback you choose to provide. This license lasts while those purposes require the content, subject to applicable law and any separate written agreement.

Do not submit confidential client information, unlawful material, or content you lack the right to share. Feedback may be used to improve the program without identifying you, unless you agree otherwise.

7. Third-party services and links

The learning area may rely on third-party platforms, tools, or links. Those services may have their own terms, privacy practices, and availability. Their content and services are not controlled by Whole Person Conversations, LLC, and a link is not an endorsement. Your use of a third-party service is governed by its applicable terms.

8. Updates, availability, and access

Program materials and the learning area may be updated, changed, temporarily unavailable, or discontinued. Whole Person Conversations, LLC may make reasonable changes to maintain or improve the program. No uninterrupted availability or particular feature is promised by this agreement. Any paid access period, delivery commitment, cancellation right, or refund is governed by the applicable enrollment terms and the Terms and Conditions.

9. Suspension, termination, and effect

This license ends when your applicable access period ends or when it is terminated under your enrollment terms or this agreement. Whole Person Conversations, LLC may suspend or terminate access for a material breach, unlawful use, or misuse of the learning area, subject to applicable law and any required notice or process.

When access ends, stop using the learning area and materials, delete copies you are not otherwise authorized to retain, and stop sharing any access. Provisions concerning ownership, restrictions, confidentiality, submitted content, disclaimers, liability, and governing terms continue to apply as their purpose requires.

10. No warranty and liability

To the extent permitted by law, the learning area and materials are provided as available, without warranties of uninterrupted access, error-free operation, accuracy for a particular purpose, or fitness for your individual circumstances. Nothing here limits a warranty or right that applicable law does not allow to be limited.

To the extent permitted by law, Whole Person Conversations, LLC is not liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from this license or your use of the learning area. Nothing in this agreement excludes liability that cannot lawfully be excluded, including liability for intentional misconduct where exclusion is prohibited. The applicable liability terms in the Terms and Conditions also apply. This section does not create a fixed monetary cap.

11. Export and legal compliance

Use the learning area and materials in compliance with applicable law, including applicable export-control and sanctions requirements. Do not access, transfer, or make materials available where doing so is prohibited, or use them for a prohibited purpose.

12. Governing law and entire agreement

Colorado law governs this agreement, without regard to conflict-of-law principles. Any action relating to it must be brought in a state or federal court located in Colorado, and you consent to that venue and jurisdiction. No arbitration is required by this agreement.

This agreement and the applicable enrollment agreement together state the terms governing the program-materials license. If they conflict, the enrollment agreement controls only where it expressly addresses the conflicting subject. A waiver or change must be in writing by Whole Person Conversations, LLC. If a provision is unenforceable, the remaining provisions continue to apply to the extent permitted by law.
